Terms of Service

Please read these terms carefully before engaging our OEM/ODM manufacturing services.

Important Notice

These Terms of Service ("Terms") constitute a legally binding agreement between Luxe Handbag Manufacturing ("Company," "we," "us," or "our") and you ("Client," "Partner," or "you"). By placing an order, signing a purchase agreement, or engaging our services in any capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

Acceptance of Terms

By accessing our website, requesting a quotation, placing a purchase order, or entering into any business relationship with Luxe Handbag Manufacturing, you confirm that you are acting on behalf of a legally registered business entity and that you have the authority to bind such entity to these Terms.

These Terms apply to all B2B transactions, including but not limited to OEM (Original Equipment Manufacturing) orders, ODM (Original Design Manufacturing) projects, sample requests, and any ancillary services provided by the Company.

We reserve the right to update or modify these Terms at any time. Continued engagement with our services following any updates constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

Services Description

Luxe Handbag Manufacturing provides integrated trade and manufacturing services specializing in premium women's handbags, shoulder bags, backpacks, briefcases, clutches, cosmetic bags, and related accessories.

OEM Services

  • -- Manufacturing based on client-provided designs and technical specifications
  • -- Private label and custom branding production
  • -- Material sourcing and hardware customization

ODM Services

  • -- Original design development from concept to production
  • -- Trend research, mood boarding, and technical drawing
  • -- Rapid prototyping and sample development

All services are subject to feasibility assessment, material availability, and production capacity at the time of order placement. We reserve the right to decline orders that conflict with our manufacturing capabilities or ethical standards.

Orders & Minimum Order Quantities

All orders must be submitted in writing via purchase order, confirmed quotation, or a signed production agreement. Verbal commitments do not constitute a binding order.

Orders are considered confirmed only upon receipt of the required deposit and written acknowledgment from our sales team. We reserve the right to adjust pricing if raw material costs fluctuate significantly between quotation and order confirmation, with prior written notice to the client.

Any changes to confirmed orders -- including modifications to design, quantity, materials, or delivery schedule -- must be submitted in writing and are subject to a change assessment. Additional charges may apply for design or tooling modifications.

Payment Terms

All quoted prices are in United States Dollars (USD) unless otherwise expressly stated in the quotation. Prices are exclusive of applicable taxes, duties, freight charges, and insurance unless otherwise specified.

Deposit -- 30% to 50%

Required upon order confirmation to initiate production. The exact percentage is stated in the proforma invoice and may vary based on order value and client relationship history.

Balance Payment -- Remaining Amount

Due prior to shipment release. Goods will not be dispatched until full payment has been received and cleared. A copy of TT confirmation or LC documents must be provided.

Accepted Payment Methods

Bank wire transfer (T/T), Letter of Credit (L/C at sight), and other methods as mutually agreed in writing. All bank transfer fees are the responsibility of the client.

Late payments may result in production delays, order suspension, or cancellation. We reserve the right to charge a late payment fee of 1.5% per month on overdue balances. Consistently late payments may affect future credit terms and order priority.

Sampling & Prototyping

Pre-production samples are an essential part of our quality assurance process. All clients are required to approve a pre-production sample before bulk manufacturing commences.

  • Sample fees are charged at cost and are generally non-refundable. Sample fees may be credited toward the bulk order upon confirmation, subject to agreement terms.
  • Sample lead time is typically 7-15 business days depending on design complexity and material availability. Rush sample services may be available at additional cost.
  • Sample approval must be provided in writing. Production will not begin without an official written approval. Any revisions requested after approval commencement may incur additional charges.
  • Counter samples may be requested by the client at their own cost to reference existing products for reproduction.

Minor variations in color, texture, and dimensions of up to ±5% between approved samples and bulk production are considered acceptable within industry tolerance standards and do not constitute grounds for rejection or compensation claims.

Quality Standards & Inspection

We are committed to delivering products that meet or exceed mid-to-high-end market quality standards. All products undergo a multi-stage quality control process throughout manufacturing.

Our quality inspection process includes incoming material checks, in-line production inspections, and final pre-shipment quality audits. We follow internationally recognized AQL (Acceptable Quality Level) standards.

Clients may arrange independent third-party inspections at their own cost. We require at least 48 hours' prior notice for any third-party inspection visits to our facility. We will cooperate fully with approved inspectors.

Defect Claim Policy

Any quality claims must be submitted in writing within 14 calendar days of confirmed goods receipt, accompanied by photographic evidence, a detailed defect description, and an itemized count of affected units. Claims submitted after this period will not be accepted. Upon verification of a valid claim, we will offer remediation through replacement, credit, or partial refund at our discretion.

Delivery & Shipping

Standard bulk production lead times range from 25 to 45 business days following receipt of deposit payment and written sample approval. Lead times may vary based on order complexity, quantity, and seasonal production schedules.

Unless otherwise agreed in writing, all shipments are made on FOB (Free on Board) Guangzhou, China terms. The client is responsible for arranging freight forwarding, marine insurance, import duties, and customs clearance in the destination country.

We will notify the client of the estimated shipment date at least 7 business days in advance. While we make every effort to meet agreed delivery dates, we are not liable for delays caused by force majeure events, port congestion, carrier disruptions, or circumstances beyond our reasonable control.

Risk of loss and title to goods transfer to the client upon delivery to the designated freight forwarder or carrier at our facility. We strongly recommend that clients arrange adequate cargo insurance.

Intellectual Property

When producing OEM orders, clients warrant that they have full legal ownership or appropriate licensing rights to all submitted designs, trademarks, logos, and brand elements. The client assumes all legal liability for any intellectual property infringement claims arising from their submitted materials.

For ODM projects, all original designs, patterns, molds, tools, and technical documents created by our design team remain the exclusive intellectual property of Luxe Handbag Manufacturing unless full IP ownership transfer is explicitly agreed upon in writing and reflected in a separate IP assignment agreement with applicable fees.

Molds and tooling manufactured specifically for a client's project shall be owned by the client upon full payment of all associated tooling fees. We retain the right to hold such tooling on-site for production purposes.

We reserve the right to use product images and general production information for portfolio and marketing purposes unless the client explicitly requests confidentiality in writing prior to order commencement.

Confidentiality

Both parties acknowledge that in the course of business, they may have access to confidential information belonging to the other party, including but not limited to business plans, pricing, product designs, client lists, and manufacturing processes.

Each party agrees to maintain strict confidentiality of such information and not to disclose it to any third party without prior written consent, except as required by law or regulatory authority.

A separate Non-Disclosure Agreement (NDA) can be executed upon request before sharing sensitive design files, brand strategies, or proprietary technical specifications. We take data protection and business confidentiality seriously.

Confidentiality obligations shall survive the termination of the business relationship and remain in effect for a period of three (3) years following the conclusion of the last transaction between the parties.

Limitation of Liability

To the maximum extent permitted by applicable law, Luxe Handbag Manufacturing's total liability to the client for any claim arising out of or relating to a specific order shall not exceed the total amount paid by the client for that specific order.

We shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of business opportunities, lost sales revenue, or reputational damage, even if we have been advised of the possibility of such damages.

We are not responsible for product compliance with the laws and regulations of the client's target market, including but not limited to labeling requirements, import restrictions, consumer safety standards, or chemical compliance regulations. Clients are solely responsible for ensuring regulatory compliance in their respective markets.

Cancellation & Termination

Order cancellations must be submitted in writing. The following cancellation policy applies based on the production stage at the time of the cancellation request:

Before production commencement: Deposit is forfeited. No additional charges apply.
During production (up to 50% completion): 50% of the total order value is charged to cover material and labor costs incurred.
After 50% production completion: 100% of the total order value is payable. Goods may be held pending full payment.

Either party may terminate the business relationship with 30 days' written notice. All outstanding orders and payments must be settled prior to termination. Termination does not relieve either party of obligations arising from confirmed orders already in progress.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles.

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or any business transaction hereunder, both parties agree to first attempt to resolve the matter amicably through good-faith negotiations within 30 days of written notice.

If the dispute cannot be resolved through negotiation, it shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for binding arbitration in Guangzhou, China, conducted in English. The arbitration award shall be final and binding upon both parties.

Nothing in this clause prevents either party from seeking emergency injunctive or equitable relief from a competent court to prevent irreparable harm pending the outcome of arbitration.

These Terms of Service were last updated on January 1, 2025. If you have a signed contract or purchase agreement with us that conflicts with these Terms, the signed contract shall prevail. By engaging our services, you confirm that you have read and agree to these Terms in full.
